ACQUISITION DU GROUPE INOVANS

Dans le cadre dun projet de build-up piloté par I-Deal Development, un Groupe que nous
accompagnons a réalisé sa cinquième acquisition en 18 mois dans le domaine du service en
ingénierie informatique :
Nous avons le plaisir de vous annoncer lacquisition du Groupe Inovans, société de
services en ingénierie informatique (SSII) spécialisée dans le conseil en systèmes
dinformations, en particulier le conseil en ingénierie des processus et la maîtrise douvrage.
Le Groupe Inovans a construit des équipes à fort niveau de compétences sur les zones
géographiques Sud-Ouest, Bretagne, Ile De France et Provence Alpes Côte dAzur, lui
conférant ainsi une présence sur une grande partie du territoire national. Sa vocation est
dintervenir chez ses clients du diagnostic initial en passant par toute prestation
daccompagnement : conseil à la maîtrise douvrage, applications et maîtrise doeuvre ainsi
que loptimisation des infrastructures réseaux.

Cette acquisition va permettre de développer des synergies entre les quatre premières
sociétés acquises dans les douze derniers mois, et cette nouvelle structure, permettant
ainsi une diversification client sur le domaine des télécommunications et un ancrage dans les
métiers liés au domaine de la banque / assurance. Léquipe d'origine accompagne ce projet et
intervient au sein de la nouvelle structure dans lobjectif de pérenniser lactivité et datteindre
les niveaux de croissance en vigueur au sein des autres structures du build-up.
Notre intervention seffectue à deux niveaux : construction d'une stratégie d'acquisition et
accompagnement de l'équipe de direction dans l'amélioration de la performance et
l'intégration des structures.

Nous avons dautres projets en cours détude et restons très actifs avec ce groupe dans le but
de lui donner une taille significative dici deux ans.
I-Deal Development a su répondre aux attentes des actionnaires du Groupe Inovans et de son
Acquéreur en construisant une approche sur mesure et optimale.
Avec une forte expérience des opérations de rapprochement, I-Deal Development se
positionne comme un acteur à forte valeur ajoutée dans la construction de valeur pour ses
interlocuteurs : managers, repreneurs, fonds dinvestissement

ACQUISITION OF THE INOVANS Group
As part of a build-up project led by I-Deal Development, an IT Services Group we support
made its fifth acquisition in the field of IT Engineering Services in a 18 months period:
We are pleased to announce the acquisition of the Inovans Group, IT Engineering
services company dedictaed to information systems, especially process engineering, MOA
diagnosis and consulting and project management.

The Inovans Group has a strong know-how and has built high level of competences teams
accross Southwest, French Britanny, Ile De France and Provence Alpes Cote d'Azur regions
in France, covering a large part of the country geographically. Its mission is to intervene
among customers from initial diagnosis through all the stages : consulting to project
management, applications and project management and optimization of infrastructure
networks.

This acquisition will enable the development of synergies between the first four companies
acquired in the last twelve months, and this new structure, thereby diversifying in terms
of customers, entering telecommunications area, and anchoring in field of banking /
insurance. The original team supports this project and is involved in the new structure with
the objective of sustaining the business and achieve growth levels at same level than other
structures of the build-up.

Our intervention is important at two levels: building a strategy of acquisition and support of
the management team in improving performance and integrating the acquired companies.
We have other projects in progress and remain very active with this group in order to provide
a significant size in two years.

I-Deal Development has responded to the expectations of shareholders of the Group and its
Inovans Purchaser by constructing a tailored and optimized scenario.
